AI Services Policy
This AI Services Policy (“AI Policy”) supplements the Agreement between the Parties. Capitalized terms not defined herein will have the meaning set forth in the Agreement.
1. General Terms. This AI Policy describes the additional terms that apply to AI Services. Customer shall use the AI Services in accordance with this AI Policy and the Acceptable Use Policy.
2. Definitions.
“AI” means models or computer programs created to mimic human decision-making abilities and reasoning, including natural language processing, machine learning, predictive analytics, and generative artificial intelligence.
“AI Service(s)” means Actimize Cloud Services or Software with AI technology or features.
“Input” means any Content, whether an instruction, query, or data that Customer provides, designates, selects, or inputs for use or processing by an AI Service to generate Output.
“Disclosures” means information and technical documentation concerning the AI Services and their models required to be disclosed by applicable law.
“Output” means any data, text, sound, video, image, or other content generated by an AI Service and made available to Customer in response to Input.
3. Use of AI Services. Actimize grants Customer the right to use the AI Services and any Output consistent with Customer’s Order, the Documentation, and this AI Policy. Customer grants Actimize and its Affiliates a worldwide, non-exclusive, royalty-free, non-sublicensable, non-transferable license to use, copy, store, process, and display Input and Output to provide, maintain, and support the Cloud Services and Software and to otherwise perform its obligations under the Agreement. Customer is responsible for its Input and for the generation and use of Output in accordance with the Agreement, including using AI Services in a manner that is safe, unbiased, and permitted by law.
4. Nature of Output. Actimize implements testing and safeguards in its AI Services to mitigate harm and bias in accordance with applicable laws and may filter or block Output that is not compliant with legal requirements or this AI Policy. Customer will evaluate Output for accuracy and appropriateness for Customer’s intended purposes, including using human review as appropriate, before using or sharing Output. Notwithstanding such testing and safeguards, Customer understands and acknowledges that: (a) Output may be unreliable, inaccurate, incomplete, misleading, offensive, or otherwise unsuitable; (b) Output is generated in response to Input, and an AI Service may generate identical or similar Output for other Actimize customers based on their input or the context of their usage; and (c) because Output may not be entirely human generated, Actimize makes no representation or warranty regarding the Output. Customer is responsible for any necessary labeling or disclosures to individuals with respect to the Output.
5. Use Restrictions. In addition to the restrictions in the Agreement, Customer shall not, either directly or indirectly, (a) extract or discover an AI Service’s components, data, models, model weights, algorithms, safety features, or operation; (b) use the AI Services or Output in combination with competitive technology or service without Actimize’s prior written consent, or to build, improve, assist, or train a competitive technology or service; (c) use scraping or data extraction methods to obtain data from an AI Service or from Output; (d) use the AI Service or Output other than as permitted in the Order or Documentation, including but not limited to use cases that qualify as “unacceptable” or “high risk” under applicable law; or (e) use or modify the AI Services in a way that results in non-compliance with transparency obligations or otherwise qualifies as a prohibited practice under applicable law. Breach of the foregoing provision will give Actimize the right to indemnification under the Agreement and will be deemed a material breach of the Agreement.
6. Data Usage. Actimize may use Content, Input, or Output to train proprietary models or AI models unless otherwise agreed by the Parties in writing. Actimize may use Input and/or Output to enhance the Software and/or Services. Where practical for the AI Services, such use of Input and Output will be: (a) anonymized, hashed or pseudonymized; and (b) aggregated with data across other customers.
7. Compliance. Actimize has and will maintain policies, procedures, systems, processes, and controls (“Compliance Controls”) to assess, monitor, manage, and mitigate risks in its AI Services including with respect to legal compliance, privacy and data security, reliability, accuracy, safety, bias and discrimination, transparency, and explainability. For clarity, Customer is responsible for its Content and any bias or discrimination that may exist in its Input. Actimize will periodically review and update Compliance Controls to align with legal and regulatory changes consistent with industry practices.
8. Reporting. If there are errors or unexpected outcomes arising from AI Services, including bias or hallucinations, Customer will inform Actimize using Support processes where such unexpected errors or outcomes are within the reasonable control of Actimize.
9. Third-Party Providers. Some AI Services include technology, models, or other services provided by third-party providers. Actimize will provide access to third-party provider terms to the extent a third-party provider requires Actimize to pass through end user terms to Customer, and Customer agrees to comply with those pass-through terms. Actimize disclaims liability arising from Customer’s failure to comply with any pass-through terms provided by Actimize.
10. Indemnification. Due to the nature of AI Services, the following are additional exceptions to Actimize’s defense and indemnity obligations for intellectual property matters: (a) any Claim based on Output generated from Customer’s Input or other data that infringes, misappropriates, or that Customer knew or reasonably should have known might infringe or misappropriate another party’s intellectual property rights; (b) if Customer interferes with, or fails to enable, available filters and other tools, or disregards instructions made available for the AI Service; (c) if Customer has fine-tuned, refined, customized, or otherwise modified an AI Service and the alleged infringement or misappropriation would not have occurred but for this fine-tuning, refinement, customization, or modification; (d) any Claim arising after Customer receives notice to stop using the Output; or (e) any Claim arising from Customer’s breach of the Agreement or any third-party terms or use of AI Services in violation of the Acceptable Use Policy or the Documentation.
Acceptable Use Policy
1. Purpose. This Acceptable Use Policy (“AUP”) outlines the acceptable and responsible use of Actimize Cloud Services and Software with AI technology or features (collectively, the “AI Service(s)”). By use of the AI Services, all Customers, including Customer personnel, agree to the terms of this AUP.
2. Definition of AI in AI Services. For the purposes of this AUP, “AI” means artificial intelligence, or computer programs designed to mimic human decision-making and reasoning, including natural language processing, machine learning, predictive analytics, and generative artificial intelligence.
3. Ethical Guidelines. Customers must adhere to ethical principles when using AI features, promoting fairness, transparency, and accountability. Discriminatory, biased, or unethical practices in AI interactions are strictly prohibited. Customers must ensure responsible use of AI Services and any outputs, including applying appropriate human oversight and transparency to avoid misleading users or creating unintended harm.
4. Compliance with Laws and Regulations. Customers must comply with all applicable laws, regulations, and industry standards governing the use of AI in the AI Services in the jurisdiction where they operate. The AI Services must not be used for any purpose that violates local, national, or international laws.
5. Consent and Notification. Customers are responsible for providing required privacy notices and obtaining any necessary consents for individuals whose data is processed by AI Services.
6. Prohibited Uses. Use of the AI Services for any of the following is strictly prohibited: (a) discriminatory or harmful purposes; (b) illegal, fraudulent, or malicious activities; (c) violation of intellectual property rights; (d) distribution of false or misleading information; (e) any use that disrupts the normal operation of the AI Services; (f) disabling or circumventing any security controls, safety measures, or transparency features of the AI Services; or (g) misusing outputs in a manner beyond the permitted purpose of the AI Services.
7. Monitoring and Compliance. Customer’s use of the AI Services may be monitored to ensure compliance with this AUP. Customers found in violation of the AUP may face suspension or termination of access to AI Services.
8. Stakeholder Engagement. Actimize encourages engagement with Customers to gather feedback and address concerns related to AI usage. Continuous improvement is essential for responsible AI development and deployment.
9. Review and Update. This AUP will be periodically reviewed and updated to reflect changes in technology, legal requirements, and ethical standards.
