Invoicing Policy

This invoicing policy (“Invoicing Policy”) describes the terms under which Actimize will invoice the Customer for the Fees for the Software and Services.  

1. Definitions:

Effective Date” means the effective date of the applicable Ordering Document that sets forth the Fees for the Software or Services being purchased. 

Variance” means the amount of Software or Services usage in excess of the Scope of Use or the Services description set forth in an Ordering Document.

Transaction-Based” or “Usage-Based” means the Fees payable by Customer, calculated based on Customer’s actual usage of the Cloud Services each month during the Subscription Term, excluding any non-recurring charges.   

2. Invoicing.  Actimize or its Affiliates may invoice for Software or Services as follows:
