Product-specific Terms
These product-specific terms describe the meaning of capitalized words used in an Ordering Document.
Output from any of the Cloud Services that include AI features, AI Agents or AI Interactions contain AI generated information. Customers must review the output for its intended use.
Actimize Cloud Services (generic):
“End-User” means an individual, entity, corporation or any other legal person that is the customer of the Customer.
“Investigation” means the structured process undertaken by Customer to examine and resolve instances of anti-money laundering or fraudulent activity.
“Narrative” means data generated for incorporation into a supported regulatory suspicious transaction form (e.g., forms required by US FinCEN, UK NCA or BaFIN).
“Summary” means consolidated and abridged data generated from a single Investigation or Alert.
“Transaction-Based” or “Usage-Based” means the Fees payable by Customer, calculated based on Customer’s actual usage of the Cloud Services scope of use each month during the Subscription Term, excluding any non-recurring charges.
Xceed Cloud Services:
“Agentic Interaction Unit” means a single, auditable cycle in which an AI Agent processes an authorized instruction, takes governed action, and produces an outcome or decision point.
“AI Agent” means an AI-powered software capable of autonomously reasoning and performing actions to fulfill a defined task within its assigned operational scope, subject to human authorization.
“AI Agent Unit” means a unit of consumption for AI Agent usage, measured in credits and consumed per Agentic Interaction Unit.
“Authorized Accessor” means any individual, entity, system, application, or process authorized by the Customer to access and use the Cloud Services to screen an Entity or risk-score a Transaction, including Customer personnel, automated systems, AI/LLM agents, machine-learning models, and Actimize-approved third-party platforms acting on the Customer’s behalf.
“Crew” means a structured group of AI Agents that have been validated by Actimize to collaborate and complete a set of tasks.
“Crew Execution” means a pre-defined task cycle performed by either: (a) a single AI Agent; (b) multiple AI Agents collaborating together on a workflow; or (c) a complex multi-agent pipeline workflow.
"Entity" means a distinct, uniquely identifiable record representing a party, characterized by: (a) legal or registered name; (b) physical address; (c) classification as either an individual or business; or (d) a unique identifier (e.g., tax ID or an external registration ID).
“Token” means the unit of usage, representing the Authorized Accessor to interact with Xceed FRAML via natural language conversation (e.g., prompts, responses, actions).
"Transaction" means a single event submitted to Xceed FRAML for fraud detection and intervention, based on data received from payment processors and digital banking systems.
"Unit of AI Interaction" means either Tokens or Agentic Interaction Units as described in the scope of use.
Actimize X-Sight Onboarding (DataIQ):
"Client Entity" means any End User recorded in the Cloud Services, whether fully onboarded or active in the system but not onboarded. Client Entity excludes End User for whom the system contains only incomplete or partial information.
Actimize SURVEIL-X:
“Market” means an exchange for the trading or posting of Transactions or securities or other financial products.
Actimize Insights Network:
“Actimize API” means an Actimize provided function, process, application or code that allows external systems to communicate in accordance with strictly defined parameters with relevant components of an Actimize system.
“Call” means each instance of a request by Customer to the Insights Network (including via the Actimize API) for the purpose of obtaining Signals with respect to a specified Counterparty.
“Counterparty” means any entity, individual, or identifier (e.g. account information) about whom Customer submits a Call.
“Insights Network” means Actimize’s data-sharing and analytics network that provides participating institutions with aggregated, privacy-preserving risk indicators to support the detection and assessment of fraud and financial crime.
“Signals” means, for each Call, one or more out-of-the-box data-derived indicators, scores, flags, or classifications relating to a Counterparty through the Insights Network.
